LokalFoodies Vendor Partnership Agreement
1. Introduction
Welcome to LokalFoodies! This Partnership Agreement (“Agreement”) governs your relationship with LokalFoodies as a registered vendor on our managed-fulfillment marketplace platform. By registering as a vendor, you agree to comply with all terms outlined in this Agreement.
2. Revenue Sharing Model
2.1 Commission Structure
LokalFoodies operates on a transparent revenue-sharing model designed to support all stakeholders in the supply chain:
- ✓Vendor Commission: 90% of each sale
- ✓Hub Commission: 7% of each sale (for logistics, quality control, and distribution)
- ✓Platform Commission: 3% of each sale (for technology, marketing, and operations)
2.2 Payment Terms
- All commission percentages are calculated based on the total order value (excluding shipping fees and taxes)
- The Vendor Commission (90%) is automatically calculated and tracked in your vendor dashboard
- Commissions are non-negotiable and apply to all product sales
2.3 Example Calculation
Order Total: ₦10,000
├─ Vendor (You): ₦9,000 (90%)
├─ Hub Manager: ₦700 (7%)
└─ Platform: ₦300 (3%)
3. Payment Lock & Disbursement Policy
3.1 Revenue Lock Period
To ensure customer satisfaction and product quality:
- All vendor funds are locked for 48 hours after delivery confirmation
- Funds move from “Locked” to “Available for Withdrawal” status once the order is marked “Completed”
- This policy protects customers and maintains quality standards across the platform
3.2 Fund Release Conditions
Your 90% commission is released when:
- ✓ Order is delivered to the customer
- ✓ Hub Manager marks order as “Completed”
- ✓ No quality complaints are filed within the 48-hour satisfaction window
3.3 Withdrawal Process
- Once funds are unlocked, you may request withdrawal via your WCFM Vendor Dashboard
- Withdrawals are processed to your registered Paystack account
- Minimum withdrawal amount: ₦5,000
- Processing time: 2-5 business days
4. Hub-Based Fulfillment Requirements
4.1 Delivery Zones
LokalFoodies operates through a hub-based logistics system covering:
- ✓ Ikeja Zone
- ✓ Ikorodu Zone
- ✓ Lagos Island Zone (Lekki/Ajah)
- ✓ Epe Zone
- ✓ Badagry Zone
4.2 Vendor Responsibilities
When you receive an order, you must:
- Prepare products within the specified timeframe for your product category
- Deliver products to the designated Hub for your customer’s zone
- Meet batch cutoff times:
- Fresh Produce: Daily by 6:00 PM
- Tubers & Dry Staples: Wednesday by 10:00 PM
4.3 Hub Drop-off Protocol
- Products must be delivered to the Hub Manager in your customer’s delivery zone
- Items must be properly packaged and labeled with order numbers
- Hub Manager will inspect all products for quality before acceptance
5. Quality Standards & Compliance
5.1 Product Quality Requirements
All products sold on LokalFoodies must:
- ✓ Be fresh, safe, and fit for consumption
- ✓ Match the product description and images listed on your store
- ✓ Meet Nigerian food safety standards
- ✓ Be properly packaged to prevent spoilage during delivery
5.2 Hub Inspection Rights
Hub Managers have the authority to:
- Inspect all products upon delivery to the hub
- Reject products that do not meet quality standards
- Request replacement items before final dispatch
- Report quality violations to the platform
5.3 Non-Compliance Consequences
Failure to meet quality standards may result in:
- ⚠ Order cancellation without commission
- ⚠ Account suspension (temporary or permanent)
- ⚠ Negative reviews affecting your store rating
- ⚠ Liability for customer refunds
6. Vendor Payment Profile Requirements
6.1 Mandatory Information
To receive payments, you must provide:
- Valid Paystack Account (bank account details)
- Bank Account Number (verified)
- Bank Code (Paystack-compatible Nigerian bank)
- Business Registration (if applicable)
6.2 Verification Process
- Your payment profile is verified by the platform
- Incomplete profiles will prevent product publishing
- You must maintain accurate and up-to-date payment information
7. Batch Delivery System
7.1 Batch Cycles
LokalFoodies uses a batch delivery system to optimize logistics:

8. Customer Satisfaction Window
8.1 48-Hour Policy
- Customers have 48 hours after delivery to report quality issues
- During this period, your funds remain locked
- Valid complaints may result in full or partial refunds deducted from your commission
8.2 Dispute Resolution
If a customer files a complaint:
- You will be notified via email
- Hub Manager reviews the case with evidence (photos, etc.)
- Platform mediates between vendor and customer
- Decision is final and binding
9. Vendor Obligations
As a LokalFoodies vendor, you agree to:
9.1 Product Listings
- ✓ Provide accurate product descriptions, prices, and images
- ✓ Update inventory availability in real-time
- ✓ Categorize products correctly by type (Fresh, Tubers, Processed, Dry)
9.2 Order Fulfillment
- ✓ Acknowledge orders within 2 hours of notification
- ✓ Prepare orders according to batch schedules
- ✓ Deliver to hubs on time for quality inspection
9.3 Communication
- ✓ Respond to customer inquiries within 24 hours
- ✓ Coordinate with Hub Managers for logistics
- ✓ Update platform on out-of-stock items immediately
9.4 Compliance
- ✓ Accept the 90/7/3 revenue split model
- ✓ Acknowledge the 48-hour payment lock policy
- ✓ Maintain complete and accurate payment profile
10. Platform Obligations
LokalFoodies commits to:
- ✓ Provide a secure, reliable marketplace platform
- ✓ Market products to reach customers across Lagos
- ✓ Facilitate secure payment processing via Paystack
- ✓ Provide Hub-based logistics infrastructure
- ✓ Handle customer support and dispute resolution
- ✓ Release vendor payments promptly after the 48-hour window
11. Prohibited Activities
Vendors are strictly prohibited from:
- ✗ Selling counterfeit, expired, or unsafe products
- ✗ Attempting to bypass the platform payment system
- ✗ Soliciting direct customer contact to avoid commissions
- ✗ Manipulating prices or creating fake reviews
- ✗ Sharing customer data with third parties
12. Intellectual Property
12.1 Your Content
- You retain ownership of product images, descriptions, and brand assets
- You grant LokalFoodies a license to display your content on the platform
12.2 Platform Content
- LokalFoodies branding, technology, and systems remain our property
- You may not replicate or reverse-engineer platform features
13. Liability & Indemnification
13.1 Vendor Liability
You are responsible for:
- Product quality, safety, and compliance with Nigerian laws
- Accurate product information and pricing
- Timely order fulfillment
- Any harm caused by defective or unsafe products
13.2 Platform Liability
LokalFoodies is not liable for:
- Vendor product quality issues
- Customer complaints about vendor-supplied items
- Payment disputes due to vendor non-compliance
- Force majeure events (natural disasters, strikes, etc.)
14. Term & Termination
14.1 Agreement Duration
- This Agreement remains in effect while you maintain an active vendor account
- Either party may terminate with 30 days’ written notice
14.2 Termination by Platform
We may suspend or terminate your account immediately if:
- You violate quality standards repeatedly
- You engage in fraudulent activity
- You fail to fulfill orders consistently
- You breach any terms of this Agreement
14.3 Post-Termination
- You will receive payment for all completed orders (after the 48-hour lock)
- Pending orders must be fulfilled or canceled with customer refunds
- Access to the platform will be revoked
15. Amendments
LokalFoodies reserves the right to:
- Update this Agreement with 14 days’ notice
- Modify commission structures with 30 days’ notice
- Add new quality standards or compliance requirements
Continued use of the platform after amendments constitutes acceptance.
16. Governing Law
This Agreement is governed by the laws of the Federal Republic of Nigeria. Disputes will be resolved through:
- Good-faith negotiation
- Mediation (if negotiation fails)
- Arbitration under Nigerian law (final and binding)
